Terms of service

How working with me actually works.

Every engagement gets its own signed Statement of Work that overrides this page where they disagree. The rules below are the defaults that apply to anyone who uses the site, sends a brief, or buys an audit, sprint or retainer. Last updated 19 May 2026.

Who you are working with.

You are working with Abhilash Babbili, a sole-proprietor freelance operator based in Hyderabad, Telangana, India. There is no agency entity, no junior team, no sub-contractor pool unless I name them in writing on a specific project.

What an engagement covers.

Every audit, sprint or retainer is described in a written Statement of Work, signed by both of us. The SoW lists the deliverables, the timeline, the success metric and the fee. Anything not in the SoW is not in scope. If you need something added, we agree on it in writing first.

Payment and invoicing.

Audits and sprints are invoiced 50 percent at kickoff, 50 percent on delivery. Retainers are invoiced monthly in advance. Payment terms are 7 days from invoice date, unless your SoW says otherwise. Invoices in INR for India-based clients, USD for international clients. GST is added where applicable.

If an invoice goes more than 14 days overdue, I pause active work until it is cleared. I will tell you before I pause.

Who owns the work.

Once an invoice is fully paid, the deliverables for that engagement are yours. Code on your GitHub, copy on your CMS, accounts on your name. The exception is general-purpose tools, libraries and methods I bring in from other work, those stay mine and you get a perpetual licence to use them inside the deliverable.

I keep the right to show the work in my portfolio (this site, LinkedIn, case studies) once it is live, unless your SoW asks for confidentiality. If you want a delay before I publish, tell me at kickoff and I will honour it.

Confidentiality.

Anything you share that is not already public stays between us. I will sign a mutual NDA before any sensitive material is exchanged, no charge. If a sub-contractor or specialist is brought in for a specific job, they sign the same NDA before they see anything.

What I do not promise.

Marketing outcomes depend on many things outside my control: market conditions, product-market fit, sales team execution, the broader economy. I commit to the work, the cadence, the quality and the reporting. I do not commit to a guaranteed lead count, ranking position or revenue number. If anyone in this industry promises you guarantees, walk away.

Liability.

My total liability for any claim arising from an engagement is capped at the fees you have paid me for that engagement in the 3 months preceding the claim. I am not liable for indirect losses (lost profits, lost data, reputational damage) beyond that cap. This is standard for freelance and consulting work in India.

Ending an engagement.

Either of us can end a retainer with 30 days written notice. Sprints and audits run to completion of the agreed scope. If you end mid-sprint, you pay for work completed up to that point. If I end mid-sprint (which has not happened, but covering the case), I refund any unworked portion of the fee.

Jurisdiction.

These terms are governed by the laws of India. Any dispute is subject to the courts of Hyderabad, Telangana. Before anything goes near a court, both of us agree to spend 30 days trying to resolve it directly. Most things can be sorted over a call.

If these terms change.

I will update the date at the top of this page. For active engagements, the terms in your signed SoW take precedence over any later update on this page.
